DUTIES AND RELATED MISCONDUCT; REMOVING COMMISSIONER  
NARANJO FROM CURRENTLY HELD BOARD OFFICE AND DISTRICT  
INTERNAL AND EXTERNAL COMMITTEE ASSIGNMENTS;  
PROHIBITING COMMISSIONER NARANJO FROM HOLDING ANY

Chairman Castellanos asked Tom Russell, General Counsel, and Randa Coniglio,  
President/CEO, to leave the dais because of the nature of the action and that they are  
direct reports.  
Chairman Castellanos introduced the item and provided comments. Chairman  
Castellanos invited Jose Rodriguez, Council Member, National City, to read the official  
response from National City regarding the alleged actions of Port Commissioner, Sandy  
Naranjo. Marcus Bush, Council Member, National City, provided a comment.  
Sonia Carvahlo, Outside Counsel, Best Best & Krieger, addressed the Board with staff's  
report and presentation regarding Agenda Item 1 - File No. 2023-0264 (A copy of the staff  
report, presentations and any agenda-related materials are on file with the Office of the  
District Clerk).

Chairman Castellanos continued the meeting at 4:30 pm.  
The Board reconvened into the Special Board of Port Commissioners meeting at  
5:38 pm.

The following employee(s) addressed the Board with agenda related comments: Tom  
Russell, General Counsel, Office of the General Counsel and Rebecca Harrington,  
Assistant General Counsel, Office of the General Counsel.  
Commissioner Malcolm, Commissioner A. Moore, Chairman Castellanos, and  
Commissioner D. Moore provided comments and asked clarifying questions. Sonia  
Carvahlo responded.  
After review and consideration of the independent investigator's conclusions, a  
motion was made by Chairman Castellanos, seconded by Commissioner D.  
Moore, the Board adopted Section A of the Resolution 2023-093; approving the  
censure of Commissioner Naranjo for personal violations of the Brown Act and  
fiduciary duties and related misconduct; removing Commissioner Naranjo from  
currently held Board of Port Commissioners (Board) office and District internal  
and external committee assignments; prohibiting Commissioner Naranjo from  
holding any future Board office or District internal or external committee  
assignments and removing the language "from speaking alone to any district  
employee in her scope and authority as a Commissioner".

Contingent upon Board approval of Section A) of the Resolution, the Board to  
considered and elected officers to vacant officer positions on the Board. A motion  
was made by Commissioner A. Moore that Commissioner D. Moore take the Vice  
Chair position and Commissioner Urtasun take the Secretary position. The motion  
was seconded by Commissioner Urtasun. Commissioner D. Moore declined the  
nomination and made a motion for Commissioner Urtasun to serve as Vice Chair  
while she remains as Secretary. Commissioner Malcolm, seconded the motion.  
The Board adopted Section B of Resolution 2023-093.
