EXECUTIVE SUMMARY:

 

On February 10, 2015, the Board of Port Commissioners (BPC) appointed Mona Dickerson to the AOC for a three year term commencing March 1, 2015.  Ms. Dickerson’s term ended on February 28, 2018.  In accordance with BPC Policy No. 0776, Port Audit Oversight Committee, the two AOC Commissioner members, the Chief Financial Officer, and the Chief Administrative Officer/Vice President have recommended reappointment of Ms. Dickerson for another three-year term, and, on March 8, 2018, the AOC concurred with this recommendation.

Recommendation

Adopt a Resolution reappointing Mona Dickerson to the San Diego Unified Port District Audit Oversight Committee for a second term of three years duration commencing March 1, 2018.

DISCUSSION:

 

The Audit Oversight Committee (AOC) is composed of two members from the Board of Port Commissioners (BPC) and three external members from the public.  On February 10, 2015, the BPC appointed Mona Dickerson to the AOC as a public member for a three year term commencing March 1, 2015.  Ms. Dickerson’s term expired on February 28, 2018.

In accordance with Board Policy No. 0776, the two AOC Commissioners members, the Chief Financial Officer, and the Chief Administrative Officer/Vice President have recommended reappointment of Ms. Dickerson for another three-year term.  At its meeting on March 8, 2018, the AOC concurred and recommended that the BPC adopt a resolution reappointing Mona Dickerson to the AOC for a second term of three years commencing on March 1, 2018.  Ms. Dickerson’s experience is as follows:

 

Ms. Dickerson has over 20 years of accounting and auditing experience.  She has significant experience in reporting, governance, and compliance services.  She is currently employed as a quality concurring reviewer for CohnReznick, LLP.  She is a Certified Public Accountant and Chartered Global Management Accountant.  Ms. Dickerson holds a Bachelor of Science degree in Accountancy from Arizona State University.

 

General Counsel’s Comments:

 

The General Counsel’s Office has reviewed and approved this agenda as to form and legality.

 

Environmental Review:

 

The proposed Board direction or action, including without limitation, reappointing a member to the San Diego Unified Port District Audit Oversight Committee does not constitute a “project” under the definition set forth in California Environmental Quality Act (CEQA) Guidelines Section 15378 because it will not have a potential to result in a direct or indirect physical change in the environment and is, therefore, not subject to CEQA. No further action under CEQA is required.

 

In addition, the proposed Board action complies with Sections 21, 30, 35, and 52 of the Port Act which allow for the auditing of District accounts. The Board action assists in this function. The Port Act was enacted by the California Legislature and is consistent with the Public Trust Doctrine. Consequently, the proposed Board action is consistent with the Public Trust Doctrine.

 

Finally, the proposed Board action does not allow for “development,” as defined in Section 30106 of the California Coastal Act, or “new development,” pursuant to Section 1.a. of the District’s Coastal Development Permit Regulations. Therefore, issuance of a Coastal Development Permit or exclusion is not required.
